BYLAWS
of the
Reynoldsburg Republican Club
ARTICLE
I - Title and Purpose
SECTION 1.
The name of the
organization is the Reynoldsburg Republican Club.
SECTION 2.
The purposes are:
a. to promote
principles of Republicanism;
b. to strive for Republican success in National, State and Local elections;
c. to work for civic betterment of the community; and
d. to provide social contacts for its members.
ARTICLE
II - Membership
SECTION 1.
The membership consists
of those persons who believe in, and will support the ideals and principles
of Republicanism.
SECTION 2.
Only members who are
registered Republicans in the Reynoldsburg area are eligible to hold office
or entitled to membership benefits.
ARTICLE
III - Dues
SECTION 1.
Annual membership dues
are $10.00 per person.
SECTION 2.
Dues are payable for the
following calendar year before December 31.
SECTION 3.
Members who have not
paid dues by January 31 will forfeit the benefit of membership until dues
are paid.
ARTICLE
IV - Officers
SECTION 1.
The officers are
president, vice president, secretary and treasurer.
SECTION 2.
Officers are elected at
the Annual Meeting.
SECTION 3.
Officers perform the
duties usually performed by such officers and also as are specified in these
Bylaws.
SECTION 4.
Vacancies in the office
of president are filled as provided in Article V.
SECTION 5.
Vacancies in the offices
of vice-president, secretary and treasurer are filled as provided in Article
VI.
SECTION 6.
No officer can serve
more than three successive terms in the same office. Service of a portion of
the term greater than half is considered a full term.
ARTICLE V - Duties of
Officers
SECTION 1.
The president:
a. presides at all
meetings and conducts them by the order of business as provided in Article
VII;
b. performs all duties of the office.
SECTION 2.
In the absence of the
president, the vice-president assumes the duties of the president. In the
event of a vacancy occurring in the office of president, the vice-president
assumes the duties of the president until the next annual meeting. In the
absence of both the president and vice president from a meeting, the
Secretary or Treasurer, in that order, may preside.
SECTION 3.
The secretary:
a. keeps minutes of all
meetings and makes them available to members upon request;
b. sends notice of time and place of all meetings;
c. conducts the general correspondence of the organization;
d. keeps an accurate list of names and addresses of members; and
e. sends notices in December to all members who have not paid dues.
The retiring secretary
delivers all appropriate records to the newly elected secretary within one
month after the election.
SECTION 4.
The treasurer:
a.
receives, deposits and disburses all funds;
b. reports the financial standing at each meeting and makes a full report at
the annual meeting;
c. keeps an itemized account of all receipts and disbursements;
d. collects all dues; and
E. files financial
reports as required by law.
The retiring treasurer
within one month after the election, delivers to the newly elected treasurer
all appropriate records.
ARTICLE
VI - Elections
SECTION 1.
The president, vice
president, secretary and treasurer are elected annually. The terms of office
begin at the first regular meeting in the calendar year.
SECTION 2.
At the October meeting,
three members of the Committee on Nominations are elected by the membership.
Two additional members are appointed by the president. The committee
chairperson will be appointed by the president from the five members.
SECTION 3.
The Committee on
Nominations prepares a slate of candidates for the four officer positions
and presents it at the regular meeting (November) preceding the Annual
Meeting.
SECTION 4.
All elections are by
secret ballot.
SECTION 5.
Additional nominations
may be made from the floor, following the report of the Committee on
Nominations.
SECTION 6.
The president appoints
tellers.
SECTION 7.
Elections are carried
out by members voting in person during the regular meetings.
SECTION 8.
Each person who votes
shall have been a member at least thirty days prior to the election. Voters
are verified by the tellers from the official membership list.
SECTION 9.
A plurality vote of
those members present, entitled to vote, constitutes an election. The
nominees receiving the highest number of votes are declared as elected. In
case of a tie in any office, the choice is decided by lot.
SECTION 10.
After an election is
declared, ballots are destroyed.
SECTION 11.
A vacancy occurs when an
officer misses three consecutive meetings.
SECTION 12.
In case of a
vacancy/person cannot serve in any of the offices, except president,
nominations shall be accepted from the floor at the next regularly scheduled
meeting. A plurality vote of those members present, entitled to vote, will
constitute the election of the nominee to the office. The nominee receiving
the highest number of votes is declared as elected. In case of a tie, the
choice is decided by lot. The election will be by secret ballot. After an
election is declared, ballots are destroyed.
ARTICLE
VII - Meetings
SECTION 1.
There will be a regular
monthly meeting each month, time and place as designated by the president,
except July and August.
SECTION 2.
The Annual Meeting of
this organization is held in December. Annual reports of officers and
standing and special committees are given at this meeting.
SECTION 3.
The order of business of
all meetings includes:

SECTION 4.
Special meetings may be
called by the officers and will be called by the president on written
request of ten members.
SECTION 5.
Notice of all meetings
are sent to all members by regular U.S. Mail at least seven days prior to a
regular meeting and three days prior for a special meeting.
ARTICLE
VIII - Standing Committees
SECTION 1.
Members of standing
committees are appointed by the respective chairpersons and assume such
duties as assigned by the president.
SECTION 2.
Chairperson of the
following committees are appointed by the president:

Publicity and Publication
Ways and Means
Budget
ARTICLE
IX - Quorum
At least ten members
present at a regular, special or annual meeting, one of whom will be an
officer, shall constitute a quorum.
ARTICLE
X - Fiscal Year
The fiscal year is the
calendar year.
ARTICLE
XI - Parliamentary Authority
The rules contained in
Robert's Rules of Order Newly Revised govern all meetings in cases they are
applicable and not inconsistent with these Bylaws.
ARTICLE XII - Amendments
SECTION 1.
These Bylaws may be
amended at any meeting by two-thirds vote of the members present, providing
members have been given a ten-day notice of the proposed change.
